Terms of Service

1. Acceptance of Terms

By accessing or using FolioKit ("Service"), operated by FolioKit ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Service

FolioKit is an AI-powered portfolio builder that enables users to create professional online portfolios. Our Service includes:

  • Portfolio creation and hosting at foliok.it/username and foliokit.app
  • AI-assisted content generation from LinkedIn PDF imports
  • QR code generation for portfolio sharing
  • Analytics tracking for portfolio views
  • Live inline editing tools
  • Optional paid features through subscription plans

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You may register using your email address or through third-party authentication providers (such as Google or LinkedIn) via our authentication partner, Clerk.

3.2 Username Selection

You may select a unique username for your portfolio URL (e.g., foliok.it/yourname). Usernames are available on a first-come, first-served basis. We reserve the right to reclaim usernames that violate these Terms, infringe trademarks, or are inactive for extended periods.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Content

4.1 Ownership

You retain ownership of all content you create, upload, or display through the Service ("User Content"), including but not limited to text, images, projects, skills, and professional history.

4.2 License to FolioKit

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, display, and distribute your User Content solely for the purpose of operating and providing the Service. This license terminates when you delete your User Content or account.

4.3 Public Portfolios

Published portfolios are publicly accessible. You are solely responsible for the content you make public. We recommend not including sensitive personal information in your portfolio.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload or display illegal, harmful, threatening, abusive, or defamatory content
  • Impersonate another person or entity
  • Upload malware, viruses, or other malicious code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service for spam, phishing, or fraudulent purposes
  • Interfere with or disrupt the Service's infrastructure
  • Scrape or collect data from other users' portfolios without permission

6. AI-Generated Content

6.1 LinkedIn Import Feature

Our Service may use artificial intelligence (powered by Anthropic's Claude) to generate portfolio content from uploaded LinkedIn PDF exports. This feature is provided as a convenience to help you get started quickly.

6.2 Review Responsibility

AI-generated content is provided "as is" and may contain errors or inaccuracies. You are solely responsible for reviewing, editing, and verifying all AI-generated content before publishing. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

6.3 Usage Limits

Free accounts are limited to one AI generation. Pro accounts receive unlimited regenerations. We reserve the right to modify these limits at any time.

7. Payment Terms

7.1 Subscription Plans

FolioKit offers both free and paid subscription plans. Paid plans ("Pro") provide additional features as described on our pricing page. Prices are subject to change with reasonable notice.

7.2 Billing

Payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your selection) until you cancel.

7.3 Cancellation

You may cancel your subscription at any time through your account settings or the Stripe Customer Portal. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.

7.4 Free Trial

If we offer a free trial, you will not be charged until the trial period ends. You may cancel at any time during the trial to avoid charges.

8. Intellectual Property

8.1 Our Property

The Service, including its design, features, code, and branding (excluding User Content), is owned by FolioKit and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our written permission.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without compensation or attribution to you.

9. Termination

9.1 By You

You may terminate your account at any time by contacting us at support@foliokit.app. Upon termination, your User Content will be deleted, and your username will become available for others.

9.2 By Us

We may suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or for any other reason at our sole discretion. We will attempt to notify you before termination when practical.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. We do not warrant the accuracy or reliability of any AI-generated content or analytics data.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOLIOKIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless FolioKit and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Shelby County, Tennessee.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FolioKit regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
